What does Swiss practice expect from tokenization engineering?
Where the ledger entry is legally the instrument, register engineering is the whole game.
The answer
Switzerland’s DLT framework made ledger-based securities a first-class legal object — which raises the engineering bar rather than lowering it: if the ledger entry is the right itself, the register’s integrity, its transfer restrictions and its reconciliation stop being back-office hygiene and become the instrument. Build the register as the product, with the governing documents and the on-chain record kept in provable agreement.
What the Swiss approach changes
In a regime where a properly constituted ledger-based right transfers on the ledger, the questions this practice asks on every register build — which record wins in a disagreement, how transfers are restricted, how the register is reconstructed at a past date — are not audit preparation. They are the legal mechanics of the instrument working at all. Counsel establishes the instrument’s form; the build makes its register worthy of that role.
